Jaroslav Baier specialises in acquisitions (including distressed assets), joint-venture structures, and company and business restructuring.
His practice focuses primarily on venture capital and private equity, including investments in start-ups and (bio)tech companies. Jaroslav himself is also the co-founder of a start-up and has a great understanding of the challenges faced by their founders. Jaroslav is a regular lecturer for start-ups and their investors, runs his own blog and participates in various events within the Czech venture community.
Jaroslav also has extensive experience in developing incentive schemes for top management and key employees of start-ups (ESOPs), forming holding structures abroad and also advising on the foreign expansion of Czech companies. He is currently a manager of the expansion of two Czech start-ups into the EU and further into the world.
Last but not least, Jaroslav is also involved in acquisitions and sales of distressed assets, having previously participated in the restructuring of one of the major engineering groups in the Czech Republic and the pre-acquisition restructuring and subsequent sale of a leading Czech aircraft manufacturer. Before joining our firm in 2022, he worked for several years for a Czech boutique law firm specialising primarily in M&A and advised one of the most prominent Czech private equity groups. Prior to that, he worked for a number of years in the Czech office of an international magic circle law firm.
