Martin Ráž specialises in legal services in real estate, construction and works contracts including disputes therefrom, export and cross-border trade and investment, complex litigation and administrative proceedings, public sector, regulatory matters, and commercial contracts of any type.

Martin Ráž has participated in several hundred major business projects, transactions, disputes and mergers and acquisitions, often involving cross-border or EU-level issues

In the field of judicial, arbitral and administrative proceedings, Martin focuses on cases in administrative judiciary, as well as standard commercial and civil litigation and cases involving European and foreign aspects. This agenda involves problematic business cases, such as failed contracts, negotiations and other troubleshooting, often with litigation, enforcement, insolvency and international elements.

In the field of public sector and regulatory matters, Martin mainly focuses on the EU Internal Market, public procurement and public contracts, state aid, and environmental law.

Prior to joining our law firm, Martin worked for more than nine years in the Czech office of a major international law firm.

  • negotiations, drafting and advice during conclusion and performance of seven works contracts regarding construction of new chemical plant and deliveries of its various technologies, valued over CZK 10 billion
  • advice in settlement negotiations and parallel arbitration or court dispute preparation regarding major construction projects over time and budget (e.g., offices/residential, as well as industrial real estate)
  • many classic real estate transactions (transfers and leases), especially as regards industrial projects, but also office buildings, inclusive of share deals and variant contracts (buyers’ choice of share or asset deal at closing)
  • construction contracts for manufacturing plants of various industries
  • representing clients in litigations involving international aspects, including the recognition and enforcement of judgments issued outside the EU (e.g. Australia or various American states) or providing evidence under a foreign substantive law
  • representing clients in complex disputes involving, as a rule, multiple judicial as well as administrative proceedings, and proceedings at the EU level; advising clients on related issues of substantive law, drafting overall strategy documents for clients including major Czech public or semi-public corporations
  • advising on tenders for major public contracts for construction work (including petrochemical and transport infrastructure projects), acquisitions of machinery and commodities, and purchase of comprehensive services; legal advice was provided mainly to contracting entities
  • purchase of enterprise (assets) from foreign insolvency for a Czech client
  • commercial contracts regarding lease of rail vehicles (trains)
  • many legal services as regards management and use of port infrastructure
  • commercial contracts in metallurgy, both raw materials and products
  • “legal archaeology” in connection with unclear contemporary impacts of privatisations and restitutions on various properties
  • advice regarding protection of CZK 350 mil. assets from hostile takeover through litigation
  • advising on asset transfers under commercial contracts with the involvement of public or quasi-public corporations
  • advising several major Czech public corporations, as contracting entities, on PPP projects; also PPP projects in Slovakia
  • involvement in projects in the area of mergers and acquisitions, due diligence, corporate governance and corporate finance, entailing advisory to the company concerned or to its majority shareholder
